TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of Mind-U Online, a wellness and personal development program ("Program") operated by ARDUA VELA MENTAL HEALTH TREATMENT LLC, a New Mexico Limited Liability Company ("Company," "we," "us," or "our"), doing business as Mind-U Online.
By purchasing a subscription or accessing any part of the Program, you ("User," "you," or "your") agree to be bound by these Terms in their entirety. If you do not agree, do not access or use our services.
1. NATURE OF SERVICES — IMPORTANT DISCLAIMER
Mind-U Online is a structured wellness and personal development program. It is NOT a mental health treatment service.
Specifically, Mind-U Online:

✅ IS: A peer support community
✅ IS: A structured daily wellness routine
✅ IS: An educational and psychoeducational resource
✅ IS: A personal development and recovery support program
❌ IS NOT: A mental health treatment or therapy service
❌ IS NOT: A clinical counseling service
❌ IS NOT: A psychiatric or medical service
❌ IS NOT: A crisis intervention service
❌ IS NOT: A substitute for professional mental health care
❌ IS NOT: A service that diagnoses, treats, or cures any condition
The facilitators who conduct group and individual wellness sessions through this Program are not acting as licensed mental health practitioners in the United States. Sessions are wellness coaching sessions, not clinical therapy sessions. No clinical diagnosis, treatment plan, or prescription is issued through this Program.
The name "ARDUA VELA MENTAL HEALTH TREATMENT LLC" refers to the legal corporate entity and does not describe the nature of services provided through Mind-U Online.
2. NO GUARANTEE OF RESULTS — FTC COMPLIANCE NOTICE
In compliance with the Federal Trade Commission (FTC) guidelines on health-related programs:
- We make no guarantee of specific results. Individual outcomes vary significantly based on personal effort, consistency, and individual circumstances.
- Testimonials and user experiences shared on our platform or in our marketing represent individual results and are not typical. Your results may differ.
- We do not claim that this Program will cure, treat, prevent, or reduce any medical or mental health condition.
- Any statements about wellness benefits refer to general lifestyle improvements and are not medical claims.
3. ELIGIBILITY
To enroll in Mind-U Online, you must:
- Be at least 18 years of age
- Not be currently experiencing an acute psychiatric crisis requiring immediate intervention
- Not have a current diagnosis of active, unstabilized schizophrenia
- Not have severe Borderline Personality Disorder with frequent, recent crisis episodes
- Have the legal capacity to enter into binding agreements
- Reside in a jurisdiction where use of our services is permitted by applicable law
Mind-U Online reserves the right to decline or terminate enrollment for any individual whose needs exceed the appropriate scope of a wellness program, and to refer such individuals to appropriate clinical resources.
4. SUBSCRIPTION, PRICING, AND BILLING

Automatic Renewal Notice (FTC Compliance): Monthly plans automatically renew on the same date each month. You will be charged the applicable plan amount to your payment method on file unless you cancel before your renewal date. We will send a reminder email before each renewal.
Price Transparency: The prices listed above are the complete prices for your plan. There are no hidden fees. Add-on services are optional and priced separately.
Cancellation: You may cancel your subscription at any time by emailing [email protected] or through your account settings in Kajabi. Cancellation is effective at the end of the current billing period. You will retain access to the Program through the end of your paid period.
Refund Policy:
- If you cancel within 48 hours of purchase AND your Welcome Session has not yet taken place, you are entitled to a full refund.
- Once your Welcome Session has been completed, all payments are final. No partial refunds are issued for unused time within a billing period.
- The Essential Annual Plan ($890) is non-refundable once the Welcome Session has been completed.

5. PROGRAM PARTICIPATION
Upon enrollment, you agree to:
- Provide accurate, truthful, and complete information in your Intake Form
- Complete the recommended Mental Health Screening before your Welcome Session
- Attend your Welcome Session within 72 hours of enrollment
- Engage respectfully with facilitators, staff, and other community members
- Not record, share, distribute, or commercialize any live session content without prior written consent from the Company
- Not misrepresent your identity or credentials within the Program or community
6. MENTAL HEALTH SCREENING — THIRD PARTY DISCLOSURE
Mind-U Online recommends that users complete a free mental health screening through Mental Health America (MHA) at screening.mhanational.org prior to their Welcome Session.
Important disclosures regarding this screening:
- The MHA Screening is administered exclusively by Mental Health America, an independent nonprofit organization. Mind-U Online has no affiliation with or control over MHA.
- Mind-U Online does not issue diagnoses of any kind based on screening results.
- Sharing screening results with Mind-U Online is entirely voluntary. You choose whether to share your results.
- Screening results shared with us are used solely to help personalize your wellness program.
- Mind-U Online's use of voluntarily shared screening information does not make Mind-U Online a HIPAA-covered entity.
7. EMERGENCY AND CRISIS DISCLAIMER
Mind-U Online is NOT a crisis service and is NOT equipped to handle psychiatric emergencies.

By enrolling in Mind-U Online, you acknowledge that:
- Our Program is not a crisis service
- Our community moderators are not crisis counselors
- You agree to contact appropriate emergency services in any crisis situation
- Mind-U Online is not liable for outcomes resulting from failure to seek appropriate emergency care
8. PEER SUPPORT COMMUNITY (CIRCLE.SO)
Access to the Mind-U Online peer support community on Circle.so is included in all plans.
This community is a peer support space only. It is not a clinical service. Community moderators facilitate discussion and maintain community standards; they do not provide therapy, clinical counseling, or crisis intervention.
Community members agree to:
- Treat all members with respect and dignity
- Not share other members' personal information outside the community
- Not post content that is harmful, abusive, discriminatory, or exploitative
- Not use the community for commercial solicitation
Mind-U Online reserves the right to remove any user from the community for violations of these standards, without refund.
Crisis Protocol: If any community member expresses suicidal ideation or immediate danger, moderators are instructed to direct them to 988 or 911 and notify the Mind-U Online team. This community is not a substitute for emergency services.
9. INTELLECTUAL PROPERTY
All content provided through Mind-U Online — including but not limited to videos, written materials, program structures, daily tasks, meal plans, sonoterapia content created by Mind-U Online, and community resources — is the exclusive intellectual property of ARDUA VELA MENTAL HEALTH TREATMENT LLC.
You are granted a limited, non-exclusive, non-transferable license to access and use this content for your personal wellness purposes only. You may not:
- Reproduce, copy, or distribute any program content
- Use content for commercial purposes
- Create derivative works based on program content
- Share login credentials with third parties
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
ARDUA VELA MENTAL HEALTH TREATMENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF MIND-U ONLINE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR PERSONAL INJURY.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PROGRAM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless ARDUA VELA MENTAL HEALTH TREATMENT LLC, its members, managers, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Program
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights
- Any information you submit through the Program
12. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of law provisions.
Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Program that cannot be resolved informally shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration taking place in New Mexico. The arbitrator's decision shall be final and binding.
Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
Class Action Waiver: To the maximum extent permitted by law, you waive your right to participate in a class action lawsuit or class-wide arbitration against the Company.
13. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. We will notify you of material changes via email to your address on file at least 14 days before the changes take effect. Your continued use of the Program after the effective date of any changes constitutes your acceptance of the updated Terms.
If you do not agree to the modified Terms, you must cancel your subscription before the effective date.
14. TERMINATION
We reserve the right to suspend or terminate your access to the Program at any time, with or without notice, for:
- Violation of these Terms
- Behavior that is harmful to other community members or staff
- Failure to pay subscription fees
- Any conduct we determine, in our sole discretion, to be inappropriate or harmful
Upon termination for violation of Terms, no refund will be issued for the current billing period.

PRIVACY POLICY

This Privacy Policy describes how ARDUA VELA MENTAL HEALTH TREATMENT LLC, operating as Mind-U Online ("we," "us," or "our"), collects, uses, stores, and protects your personal information when you use our Program.
1. IMPORTANT: HIPAA NOTICE
Mind-U Online is not a HIPAA-covered entity. We are not a healthcare provider, health insurer, or healthcare clearinghouse as defined under the Health Insurance Portability and Accountability Act (HIPAA).
However, we voluntarily adopt privacy and data protection standards consistent with HIPAA's spirit because we take the sensitivity of health-related information seriously. Your information will be treated with the utmost confidentiality.
2. INFORMATION WE COLLECT
Information you provide directly:
- Full name, age, city and state of residence
- Email address and phone number (optional)
- Intake Form responses, including: current challenges, health history, medications, wellness goals, and availability
- Mental Health Screening results (shared voluntarily and independently generated by MHA)
- Communications with our team via email or community platforms
Payment information: Payment is processed securely by Kajabi Payments (powered by Stripe). We do not store, access, or have visibility into your full credit card numbers, CVV, or banking details.
Information collected automatically:
- Program usage data (content accessed, sessions attended, features used)
- Device type and browser information
- IP address and approximate location
3. HOW WE USE YOUR INFORMATION
We use your information to:
- Deliver, personalize, and improve your 30-day wellness program
- Schedule and conduct your Welcome Session and individual wellness sessions
- Send program content, daily reminders, and administrative communications
- Process and manage your subscription and payments
- Maintain the safety and integrity of our community
- Comply with applicable legal obligations
- Respond to your inquiries and provide customer support
We do not use your information for advertising, profiling, or sale to third parties.
4. HOW WE SHARE YOUR INFORMATION
We do not sell your personal information.
We may share limited information with:
Service providers — only as necessary to operate the Program:
- Kajabi (program hosting and payment processing)
- Zoom (video session delivery)
- Calendly (session scheduling)
- Circle.so (peer community platform)
- ManyChat (SMS follow-up communications)
- Google (Forms and data storage)
Each service provider is bound by their own privacy policies and data processing agreements.
Legal obligations — we may disclose information if required by law, court order, or to protect the safety of our users or the public.
Business transfers — in the event of a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction.
Your Intake Form responses and session-related content are kept confidential within the Mind-U Online clinical and wellness team and are not shared with third parties without your explicit written consent, except as required by law.
5. DATA SECURITY
We implement reasonable technical and organizational security measures to protect your personal information, including:
- Encrypted data transmission (SSL/TLS)
- Secure payment processing through Kajabi Payments (Stripe)
- Access controls limiting who within our team can access sensitive information
- Secure storage of Intake Form responses in Google Drive with restricted access
No method of electronic transmission or storage is 100% secure. We cannot guarantee absolute security, but we are committed to protecting your information using industry-standard practices.
Data Breach Notification: In the event of a data breach that affects your personal information, we will notify you within a reasonable time frame as required by applicable law.
6. DATA RETENTION
We retain your personal information for as long as your account is active and for up to 24 months after account closure for legal and business purposes.
You may request deletion of your data at any time by emailing [email protected]. We will fulfill deletion requests within 30 days, except where retention is required by applicable law.
7. YOUR RIGHTS
You have the right to:
- Access the personal information we hold about you
- Correct inaccurate or incomplete information
- Delete your personal data (subject to legal retention requirements)
- Withdraw consent where processing is based on your consent
- Opt out of marketing communications at any time (unsubscribe link in every email)

8. CHILDREN'S PRIVACY (COPPA COMPLIANCE)
Mind-U Online is not directed at or intended for individuals under the age of 18. We do not knowingly collect personal information from minors.

9. CALIFORNIA PRIVACY RIGHTS
If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information we collect, the right to delete personal information, and the right to opt-out of the sale of personal information (we do not sell personal information).

Your continued use of the Program after the effective date of any changes constitutes your acceptance of the updated Privacy Policy.
